Hedlyn is a two-sided marketplace that connects performers, musicians, and artists (“Talent”) with event organizers, venues, and individuals seeking live entertainment (“Bookers”). Hedlyn is operated by It’s Called Arena. References to “Hedlyn,” “we,” “us,” or “our” mean It’s Called Arena.

You may use Hedlyn only if you:

By creating an account you represent and warrant that the above conditions are met.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at support@hedlyn.com if you suspect unauthorized access. We are not liable for any loss resulting from unauthorized use of your account.

You may not transfer your account, impersonate any person or entity, or create multiple accounts to circumvent restrictions.

Hedlyn facilitates bookings and payments between Talent and Bookers. When a booking is confirmed, both parties enter into a direct agreement for the performance. Hedlyn is not a party to that agreement and is not responsible for the performance of either party.

Hedlyn offers optional premium subscriptions for Talent accounts. Subscriptions are billed and managed through Apple App Store or Google Play. All subscription terms, renewals, and cancellations are governed by your app store agreement. Deleting your Hedlyn account does not automatically cancel an active subscription.

You are solely responsible for content you submit, post, or transmit through Hedlyn. You agree not to:

We reserve the right to remove content and suspend or terminate accounts that violate these terms, at our sole discretion and without prior notice.

Hedlyn and its content, features, and functionality are owned by It’s Called Arena and are protected by copyright, trademark, and other applicable law. You may not copy, modify, distribute, or create derivative works from our platform without express written permission.

By submitting content to Hedlyn (such as profile photos, bios, audio clips, or gig listings), you grant Hedlyn a worldwide, royalty-free, non-exclusive license to use, display, reproduce, and distribute that content solely for the purpose of operating and promoting the Services.

Hedlyn is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

Hedlyn does not vet, endorse, or guarantee the quality, safety, legality, or reliability of any Talent, Booker, event, or content posted on the platform. You engage with other users at your own risk.

To the fullest extent permitted by applicable law, It’s Called Arena and its affiliates, officers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Services, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or relating to these terms or the Services will not exceed the greater of (a) the platform fees paid to Hedlyn in connection with the transaction giving rise to the claim in the twelve months preceding the claim or (b) $100 USD.

You agree to indemnify, defend, and hold harmless It’s Called Arena and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Services, your violation of these terms, or your violation of any third-party right.

These terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles. Any dispute arising out of or relating to these terms or the Services will be resolved exclusively in the state or federal courts located in Nashville, Tennessee, and you consent to personal jurisdiction in those courts.

We may update these terms from time to time. We will post the revised terms here and update the effective date. If we make material changes we will provide additional notice, such as an in-app notification. Continued use of Hedlyn after the effective date constitutes acceptance of the updated terms.

If you downloaded Hedlyn from Apple’s App Store, your license to use the application is also subject to Apple’s Standard Licensed Application End User License Agreement. Apple’s Standard EULA governs the application license, while these Hedlyn Terms govern the marketplace, bookings, payments, content, and services provided by Hedlyn.
